SaaS Mantra Terms of Service

1. Acceptance of Terms

By using SaaS Mantra’s website or services (“Marketplace Offerings”, "other digital products"), you agree to comply with these Terms of Service (“Terms”), our Privacy Policy, and all related policies. If you do not agree, you must discontinue use immediately. These Terms constitute a binding contract between you and Mantraa Group Inc., a Delaware corporation (“SaaS Mantra”, “we”, “us”, “our”).

2. User Eligibility & Legal Capacity

• You must be at least 18 years old or, if under 18 but at least 13, have verified parental consent.

• You guarantee all registration information is current, accurate, and complete. If it is not, we may suspend or terminate your account.

• Our Site is not intended for use in locations where such access is unlawful. You are responsible for legal compliance in your jurisdiction.

• You may not use the platform if subject to embargo or proscribed by US or international sanctions.

3. Account Security

• Your account and credentials are confidential and individual. You must not share or transfer your account to anyone else. You are responsible for any activity conducted through your account.

• We reserve the right to prohibit or disable your account at our sole discretion if we detect any violation, misuse, fraud, or suspicious activity, or if you breach these Terms.

4. Services, Offerings, and Availability

• All digital goods, SaaS subscriptions, and related offerings are subject to availability, may change without notice, and may be withdrawn at our discretion. We do not guarantee or endorse specific products.​

• We may limit or prohibit sales that appear to be made by dealers, resellers, or distributors, and enforce restrictions on account creation and purchase quantities.

5. Prohibited Conduct & Activities

When using the platform, you agree NOT to:

• Violate any law, regulation, or third-party right.

• Circumvent, disable, or interfere with any security-related features.

• Transfer, resell, or redistribute purchased offerings, credits, or accounts (resale is strictly prohibited).

• Use bots, scripts, or any automated means to access or use the platform.

• Impersonate any person or misrepresent affiliation.

• Upload viruses, spam, or other malicious code.

• Attempt to reverse engineer any part of the Site or Offerings.

• Use the platform to solicit, harass, or harm others or to compete with us.

6. Purchases, Refunds, Credits & Payments

• All purchases are final in US Dollars unless otherwise indicated. You authorize recurring charges if applicable.

• 60-Day Refund Policy: SaaS Mantra offers a 60-day refund on most digital subscriptions/products, processed exclusively through our platform, subject to fair use and outlined limitations. Excessive refund requests or refund abuse may result in loss of platform access and account termination.

• Usage of SaaS Mantra promotional credits is restricted to Site transactions and is non-transferable, non-redeemable for cash, and subject to policy updates at our discretion.

7. No Resale, No Circumvention, No Unfair Use

• No resale, redistribution, or circumvention of purchase restrictions is permitted. Off-platform account swaps and backdoor refunds are strictly forbidden and constitute grounds for termination.

8. Intellectual Property & User Content

• All Site content, design, software, and branding are owned/licensed by SaaS Mantra or its partners. Do not copy, modify, distribute, or create derivative works without explicit permission.

• By posting any content (feedback, comments, media, etc.), you grant SaaS Mantra a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, display, and distribute such content for any purpose, including site promotion, as permitted by law.

• You waive all moral rights in your contributions, and confirm rights to any content you submit.

9. User Reviews, Feedback, and Submissions

• Reviews and community submissions must reflect honest, firsthand experience and not be false, defamatory, or incentivized by competitors. SaaS Mantra reserves rights to moderate or remove submissions for any reason without notice.

10. DMCA, Copyright & IP Infringement

• SaaS Mantra respects IP rights. Claims of infringement should be submitted via our designated DMCA agent. False or malicious DMCA notices may result in liability.

11. Privacy and International Data Transfers

• SaaS Mantra complies with GDPR, CCPA, and other privacy laws as required. By using our platform, users consent to international data transfers as necessary.

12. Third-Party Websites, Services & Liability

• The platform may reference or link to external, third-party properties for which SaaS Mantra assumes no responsibility. You engage with those sites and services at your own risk.

13. Partner/Vendor Responsibility

• Vendors and partners are solely responsible for support, product accuracy, and compliance; however, SaaS Mantra may mediate support issues at its discretion but assumes no guarantee for satisfactory resolution.

14. Enforcement, Termination, and Cooperation with Law Enforcement

• SaaS Mantra reserves all enforcement rights, including monitoring, moderation, removal of content, and cooperation with law enforcement as needed.

• Accounts may be suspended or terminated without notice for any breach, suspected fraud, or activity deemed harmful to SaaS Mantra or its users.

• Upon termination, you forfeit access to your account, content, credits, and purchases. Re-registration is prohibited without explicit consent.

15. Indemnification

• You agree to indemnify, defend, and hold harmless SaaS Mantra and its affiliates/agents from any third-party claims, damages, or losses resulting from your use, violation of these Terms, or breach of representations.

16. Disclaimers and Limitation of Liability

• The site, services, and offerings are provided “AS IS” without warranties or guarantees of any kind. SaaS Mantra’s total liability is strictly capped at the greater of (a) $100 USD, or (b) the amount paid by you in the preceding twelve months, whichever is under the platform's favour to the extent permitted by law.

• SaaS Mantra is not liable for any indirect, incidental, consequential, or punitive damages.

17. Governing Law, Dispute Resolution, Arbitration & Class Action Waiver

• These Terms are governed by the laws of the State of Delaware, USA.

• All disputes shall be resolved by binding arbitration in Delaware, under the American Arbitration Association rules.

• Class Action Waiver: All claims must be brought in your individual capacity, not as a class member or participant in any representative action or class proceeding.

• Some disputes may require court action (for certain IP, privacy, or injunctive relief).

18. Modifications, Interruptions, and Updates

• SaaS Mantra may revise these Terms at any time with or without notice; your continued use constitutes acceptance. The platform may be interrupted, updated, or discontinued at any time. Saas Mantra is not responsible for any loss resulting from downtime or modifications.

19. Assignment & Severability

• SaaS Mantra may assign these Terms and any rights at its discretion. You may not assign your obligations. Invalid or unenforceable sections are severed without affecting the rest of the Terms.

20. Waiver & Entire Agreement

• Failure to enforce any part of these Terms does not constitute a waiver. These Terms constitute the entire agreement between the parties governing SaaS Mantra’s offerings and platform use.
